Schedule 2 — New Zealand

New Zealand law terms: Consumer Guarantees Act, Fair Trading Act, privacy and tax.

1. Governing law and jurisdiction

1.1 This Agreement is governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.

2. Consumer Guarantees Act

2.1 The Customer confirms it is acquiring the services in trade, the parties are in trade, and they agree to contract out of the Consumer Guarantees Act 1993 to the maximum extent permitted by section 43(2) of that Act. The parties agree it is fair and reasonable to do so.

3. Fair Trading Act

3.1 The parties agree, to the extent permitted by sections 5C and 5D of the Fair Trading Act 1986, that sections 9, 12A and 13 of that Act do not apply between them in respect of this Agreement, and that it is fair and reasonable to so agree.

4. Privacy

4.1 Supplier will comply with the Privacy Act 2020 and the Information Privacy Principles in handling personal information within Customer Data, as detailed in the Data Processing Addendum (New Zealand annex), including the notifiable privacy breach regime.

4.2 The parties acknowledge that where Supplier holds personal information solely as the Customer's agent for processing and storage, the Customer remains the agency responsible for that information under the Privacy Act 2020, and the Data Processing Addendum sets out the safeguards Supplier applies on the Customer's behalf.

5. Tax

5.1 Fees are exclusive of GST. Where GST is chargeable on a supply under this Agreement, the Customer must pay the GST amount in addition to the fees, subject to receiving a tax invoice. Terms used in this clause have the meaning given in the Goods and Services Tax Act 1985.

6. Electronic execution

6.1 The parties consent to electronic execution and acceptance of this Agreement and Order Forms in accordance with the Contract and Commercial Law Act 2017, including by click-through acceptance.
